Terms of Service

1. Acceptance of Terms

By accessing or using GrantFlow ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. You must be at least 18 years of age to create an account and use GrantFlow.

2. Description of Service

GrantFlow is an AI-powered platform that helps Canadian businesses and non-profits discover grants they may qualify for, track their applications, and draft application materials. The Service includes grant matching, application tracking, an AI assistant, a content library, a document vault, and email notifications.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Provide accurate and complete information when creating your account and business profile.
• Keep your login credentials secure and not share them with others.
• Notify us promptly if you suspect unauthorized access to your account.
• Maintain only one account per individual. Duplicate accounts may be terminated.

4. Subscription & Billing

Free Trial

New users receive a 7-day free trial with full access to all features. No payment information is required to start a trial. At the end of the trial period, you will need to subscribe to a paid plan to continue using the Service.

Paid Plans

GrantFlow Pro is available at $20 USD per month (billed monthly) or $180 USD per year (billed annually). Subscriptions automatically renew at the end of each billing period unless cancelled.

Cancellation & Refunds

You may cancel your subscription at any time through the billing settings in your account. Upon cancellation, you will retain access to paid features until the end of your current billing period.

Due to the nature of our service — which involves AI-powered grant matching, background processing, and third-party AI service costs incurred on your behalf — we do not offer refunds once a paid billing period has begun. Since all users receive a 7-day free trial with full access to evaluate the Service before subscribing, and you can cancel at any time during the trial without being charged, we encourage you to use the trial period to determine if GrantFlow is right for you.

Price Changes

We reserve the right to change our pricing. If we do, we will give you at least 30 days' notice before the new pricing takes effect. Continued use of the Service after the price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Scrape, crawl, or use automated tools to extract data from the Service.
• Attempt to gain unauthorized access to any part of the Service or its infrastructure.
• Interfere with or disrupt the Service or the servers and networks connected to it.
• Submit false or misleading information in your business profile or grant applications.
• Resell, sublicense, or redistribute any part of the Service without our written consent.

6. AI-Generated Content Disclaimer

GrantFlow uses artificial intelligence to power grant matching, eligibility analysis, and application drafting features. You acknowledge and agree that:

• AI-generated grant matches and eligibility assessments are suggestions only and do not guarantee that you qualify for or will receive any grant.
• AI-drafted application content is a starting point that you must review, verify, and edit before submitting to any grant provider.
• AI responses may contain inaccuracies, outdated information, or errors. You are solely responsible for verifying the accuracy of all AI-generated content.
• GrantFlow does not guarantee that using the Service will result in successful grant applications or funding.

7. Intellectual Property

Our Property: The GrantFlow platform, including its design, code, features, and branding, is owned by GrantFlow and protected by intellectual property laws. You may not copy, modify, or create derivative works from any part of the Service.

Your Content: You retain ownership of all content you create or upload to GrantFlow, including business profile information, documents, content blocks, and application drafts. By using the Service, you grant us a limited licence to store, process, and display your content as needed to provide the Service to you.

8. Grant Data Disclaimer

Grant information displayed on GrantFlow is sourced from publicly available government and organizational databases. While we strive to keep this information accurate and up to date, we cannot guarantee that:

• All available grants are listed on the platform.
• Grant details (deadlines, funding amounts, eligibility criteria) are current or complete.
• Grants displayed are still accepting applications.

You should always verify grant details directly with the grant provider before applying. GrantFlow is not affiliated with any government agency or grant provider.

9. Team & Organization Features

If you create an organization and invite team members, you (as the account owner) are responsible for:

• Managing team member access and roles within your organization.
• Ensuring that team members comply with these Terms.
• Understanding that data within your organization may be visible to other team members based on their assigned roles.

10. Limitation of Liability

To the maximum extent permitted by law, GrantFlow and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to:

• Missed grant opportunities or deadlines.
• Unsuccessful grant applications.
• Decisions made based on AI-generated recommendations or grant data.
• Loss of data or business interruption.

Our total liability to you for any claims arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Service Availability

We strive to keep GrantFlow available at all times, but we do not guarantee uninterrupted or error-free service. We may temporarily suspend the Service for maintenance, updates, or reasons beyond our control. We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice.

12. Termination

By You: You may cancel your account at any time through your account settings or by contacting us. Upon cancellation, your access to the Service will end at the conclusion of your current billing period.

By Us: We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or use the Service in a way that could harm other users or our infrastructure. We will make reasonable efforts to notify you before termination, except in cases of serious violations.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a prominent notice on our website at least 30 days before the changes take effect. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes.
